Commission Guarantee Agreement

We, Genesis
Capital Management Group, Ltd., do herein with full authority and corporate
responsibility, irrevocably guarantee to pay your Service Fee and or
Commission, unconditionally guaranteed to be paid for each shipment made and
duly paid by Buyer’s bank per Tranche of the Letter of Credit Terms
immediately without delay or legal impediment, regardless of any variation or
condition which may be agreed between Buyer and Seller. Pending cost of banking assignment of
proceeds, performance bond costs, issuance of revolving acceptable Letters or
Credit and sale amount of the Commodity at no less than $ per
metric ton.

execution of the Contract for the transactions and receipt of acceptable
Letters of Credit, this Irrevocable Letter Pay Order Protection will be
confirmed by an assignment of proceeds at the advising bank:

This
Irrevocable Pay Order will lodge in the Bank with signed agreement and
converted into an irrevocable assignment of proceeds and shall not be amended
regardless of any variation or condition which may be agreed between
Buyer/Seller and shall remain in force and operate on a “Pass
Through” basis for the period of the Contract. We also agree to pay your Service Fee and/or Commission at
prevailing rates, consistent with the rates contained herein, for any other
transactions consummated with the Buyer and/or its Representative whom you
introduce to us.
This
Document is dated as of and serves as the Original Amended
Document and invalidates and previous signed Pay Order. To be effective this Document must be
signed by all parties concerned.
This
Agreement is to be reviewed every three years for renewals.
